Eligibility: The Mixhalo Seat Upgrade Sweepstakes is open to legal residents of the U.S. 18 years or older at time of entry. Void where prohibited. All federal, state, and local laws and regulations apply. Employees, representatives, and agents of Mixhalo Corp. ("Sponsor") or LAFC, including their respective parent companies, affiliates, and subsidiaries and the immediate family members of each (defined as spouse, siblings, or children, regardless of residence) are not eligible to participate. Participation constitutes entrant's full and unconditional agreement to and acceptance of these Official Rules, and the decisions of the Sponsor, which are final and binding in all matters relating to the Sweepstakes and shall not be subject to appeal. How to Enter: To be automatically entered, attend the LAFC game at Banc of California Stadium on May 7, 2022 (the “Game”). All valid ticketholders will be automatically entered. Limited to one entry per person. Must be present at the Game to win. See "General" for additional rules regarding entry. Prizes; Approximate Retail Values ("ARV"); and Odds: One (1) winner will receive an immediate seat upgrade for use during the Game of two (2) tickets at the glass (the “Prize”.) The total ARV of all prizes awarded is $400. Odds of winning depend on the number of eligible entrants attending the Game. Any applicable taxes and all other costs/expenses not specifically identified in these Official Rules are the winner’s sole responsibility. No substitutions or cash redemptions will be made, other than as provided herein. Sponsor reserves the right to substitute an alternative prize, in whole or in part, of equal or greater monetary value if the Prize cannot be awarded, in whole or in part, as described for any reason. Selecting a Winner and Notification: One Game attendee who is using Mixhalo at the Game will be selected to win the Prize. The Winner will be notified in person at the Game by on-site Mixhalo staff and escorted to their rink-side seats at the glass after having their winning moment featured on the overhead displays. In the event a winner chooses not to accept the Prize, the Prize will be forfeited and an alternate winner will be randomly selected. General: By entering this Sweepstakes, entrants agree to be bound by the rules and the decisions of the Sponsor on all matters relating to the Sweepstakes, which are final and binding. The Winner is solely responsible for all local, state and federal taxes on the Prize including sales or use taxes, as well as any expenses related to participation in the Sweepstakes or attendance at the Game. By participating, entrant agrees to release and hold harmless the Sponsor and LAFC and their respective divisions, affiliates, subsidiaries, officers, directors, employees, agents, and representatives (collectively "Releasees") from any injury, loss, or damage to person, including death, personal injury, or loss or damage to property due in whole or in part, directly or indirectly to the acceptance or use/misuse of a Prize, participation in any sweepstakes-related activity, or participation in the Sweepstakes. By participating or accepting the Prize, you also accept and agree to be bound by the rules and decisions of the Sponsor, which are final and binding. This sweepstakes is subject to all federal, state, and local laws and is void where prohibited. By accepting the Prize, Winner agrees to the Sponsor and LAFC’s use of his/her name, city, and state of residence and/or likeness for advertising and publicity purposes in any and all media now or hereafter known throughout the world in perpetuity without further compensation, permission, or notification and, upon request, will provide consent to such use in writing. The Sponsor and LAFC are not responsible for any typographical or other error in the administration of this Sweepstakes or in the announcement of the Winner and the Prize. In the event the Sponsor or LAFC are prevented from continuing with this Sweepstakes, or the integrity and/or feasibility of the Sweepstakes as planned is undermined by any event including but not limited to fire, flood, epidemic, pandemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, war (declared or undeclared), terrorist threat or activity, or any federal, state, or local government law, order, or regulation, order of any court or jurisdiction (each a "Force Majeure" event or occurrence), the Sponsor and LAFC shall have the right, in their sole discretion, to abbreviate, modify, suspend, cancel, or terminate the Sweepstakes and award the Prize from among all eligible entrants. Governing Law: All disputes concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of entrants, the Sponsor, or LAFC in connection with the Sweepstakes shall be governed by and interpreted in accordance with the laws of the State of California, without regard to its conflict of laws principles. The parties hereby consent to exclusive jurisdiction and venue of the state and federal courts located in San Francisco, California, in any action relating to these Official Rules or the Sweepstakes.
